These Terms and Conditions (“Terms”) govern your access to and use of the Flashy platform, including all services, content, features, technologies, and applications offered by Flashy Technologies FZ-LLC (“Flashy”, “we”, “us”, or “our”) via www.flashy.ai and associated domains, APIs, and mobile applications (collectively, the “Services”).

Please read these Terms carefully before using the Services. By accessing or using any part of the Services, you agree to be bound by these Terms, along with our:

1. Who We Are

Flashy Technologies FZ-LLC is a technology company incorporated in the United Arab Emirates (License #98748), headquartered at In5 Tech, Dubai Internet City, Dubai, UAE. Our Services include the Flashy OS — an AI-powered content operating system providing digital asset management, workflow automation, content creation tools, and integrations for distribution and analytics.

2. Eligibility

You must be at least 18 years old to use the Services. If you are accessing or using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration

To access certain features, you must create an account. You agree to:

Provide accurate, current, and complete information

Keep your credentials secure

Notify us immediately of any unauthorized use of your account

We reserve the right to disable your access if we suspect a breach of these Terms or applicable law.

4. Services Overview

Flashy provides a suite of tools including:

AI Editing: Object removal, background cleanup, generative fill, image expansion

Digital Asset Management (DAM): Smart tagging, metadata enrichment, version control, semantic search

Workflow Automation: Approvals, scheduling, project tracking, and collaboration

Content Deployment: Social media publishing, scheduling, previews, AI captions/hashtags

Integrations: With Meta, Dropbox, Google Drive, LinkedIn, and others

Adaptive Export: Resolution presets, custom watermarking, multi-format delivery

AI Agents (in development): Strategy generation, localization, predictive content generation

Marketplace: Book creators, manage production, and oversee delivery

We continuously update and improve our Services and may add or remove features at any time.

5. Acceptable Use

You may only use the Services in accordance with our Acceptable Use Policy. This includes, but is not limited to, not:

Violating any applicable law

Uploading content you don’t own or have rights to

Circumventing access restrictions or rate limits

Using automated systems without permission (e.g., bots, scrapers)

Uploading malware or attempting to interfere with the Services

Violation may result in suspension or permanent termination of your account.

6. Content & Ownership

Your Content

You retain ownership of all intellectual property rights to content you upload. You grant Flashy a non-exclusive, worldwide, royalty-free license to host, use, process, reproduce, and display your content solely to provide the Services.

AI-Generated Content

Outputs created via Flashy's AI tools are generated based on your input. You are solely responsible for reviewing and ensuring their legality, accuracy, and compliance. Flashy disclaims all warranties related to such outputs.

Our IP

All software, branding, designs, data structures, and content provided by Flashy are protected by intellectual property laws. Except where explicitly permitted, you may not:

• Reuse, modify, or reverse-engineer the platform

• Copy or mirror any part of the Services

7. Subscription Plans & Billing

Some features may be accessed via free trials or paid subscriptions. By subscribing, you agree to:

• Pay all fees and applicable taxes

• Be billed via the method selected at sign-up

• Abide by plan limitations (e.g., AI credits, seat count, storage quotas)

Flashy may change pricing with prior notice. Failure to pay may result in suspension or loss of access. Refunds are granted only where required by law.

8. Service Levels & Support

We aim for high availability but do not guarantee 100% uptime. Scheduled maintenance and downtime may occur.

Enterprise customers may receive enhanced SLAs as defined in their custom agreements.

9. Termination

We may suspend or terminate your access:

• At your request

• For breach of these Terms or applicable law

• For inactivity (on free plans) with notice

Upon termination, your access ends immediately. We may retain or delete your data per our data retention policy and Privacy Policy.

10. Data Protection & Privacy

We process personal data in compliance with GDPR, UAE Data Law, and other applicable laws. See our Privacy Policy for full details on how your data is collected, stored, and used.

By using the Services, you agree to our use of cookies as outlined in our Cookie Notice.

11. Third-Party Services

Flashy integrates with third-party platforms (e.g., Meta, Vimeo, Google Drive). We do not control these services and are not liable for their availability, actions, or terms. Your use of these services is at your own risk.

12. Warranties & Disclaimers

The Services are provided “as is” and “as available.” Flashy makes no warranties (express or implied), including merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• Services will always be secure or error-free

• AI-generated content is accurate, compliant, or complete

• Third-party integrations will remain available

13. Limitation of Liability

To the maximum extent permitted by law, Flashy will not be liable for:

• Indirect, incidental, or consequential damages

• Loss of profits, business, or data

• Errors or omissions in AI outputs

• Downtime, service interruption, or data loss

In no event shall our liability exceed the total amount paid by you in the 12 months preceding the claim.

14. Indemnity

You agree to defend, indemnify, and hold harmless Flashy, its affiliates, officers, and employees from any claims, damages, or liabilities arising from:

• Your content

• Your use of the Services

• Your violation of these Terms or third-party rights

15. Modifications

We may revise these Terms at any time. We will notify you of material changes via email or in-app notification. Continued use of the Services after changes become effective constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the United Arab Emirates. Disputes will be subject to the exclusive jurisdiction of the courts of Dubai, UAE.
